TERMS & CONDITIONS

  1. Interpretation

  • (a) ‘Contract’ means the standard trading terms and conditions of sale (which applies to each and every Quotation and/or Order) and includes any Quotation and Order.
  • (b) ‘Portamix’ means Portamix Ltd.
  • (c) ‘Customer’ means the entity to which Portamix enters into a Contract for the sale of Goods.
  • (d) ‘Goods’ means the products described in the Quotation or Order and includes replacement products.
  • (e) ‘Order’ means a written or verbal order from the Customer to Portamix.
  • (f) ‘Quotation’ means a written or verbal quotation provided by Portamix to the Customer.

  1. Orders

  • (a) Orders for Goods will be binding upon Portamix and the Customer. However, Portamix reserves the right to accept orders in whole or in part.
  • (b) Once Portamix has accepted an Order, the Customer may not alter or modify the Order without prior written consent.
  • (c) A 30% re-stocking fee applies to all returned products providing they are in re-saleable condition.

  1. Prices

  • (a) All prices are exclusive of sales tax and in American dollars unless otherwise stated.
  • (b) Minimum order value is $50.00, excluding tax.
  • (c) Free-in-store freight applies above thresholds as specified by Portamix.
  • (d) Orders below thresholds incur standard freight charges.

  1. Payment and Credit Terms

  • (a) Payment terms are 30 days net unless agreed otherwise.
  • (b) Overdue accounts may incur 2% monthly interest and credit suspension.
  • (c) The Customer indemnifies Portamix for recovery costs on overdue accounts.

  1. Delivery and Risk

  • (a) Delivery is to the Customer’s nominated address.
  • (b) Risk passes on delivery.
  • (c) Portamix is not liable for delays or non-delivery.

  1. Retention of Title

  • (a) Goods remain the property of Portamix until paid in full.
  • (b) Proceeds of resale remain property of Portamix until settlement.

  1. Claims

  • (a) Claims must be made within 7 days of delivery.
  • (b) Portamix may inspect goods before accepting claims.
  • (c) Liability is limited to repair or replacement.

  1. Limitation of Liability

  • Portamix liability is limited to the value of goods supplied.

  1. Privacy

  • Portamix may collect and exchange credit information for account assessment.

  1. General

  • (a) Terms governed by NZ, USA, and UK law.
  • (b) Portamix may vary terms or cancel orders prior to delivery.
  • (c) Unauthorized resale via third-party marketplaces is prohibited.
